The National Stock Exchange of India, better known as the NSE, is one of the central institutions in India’s capital-market ecosystem. It provides the infrastructure through which investors and institutions participate across equities and several other market segments. NSE’s own public listing is therefore different from a typical IPO: investors are not simply evaluating another company entering the stock market; they are evaluating a business that forms part of the infrastructure on which the stock market itself operates.
Incorporated in 1992, the NSE was recognized by the Securities and Exchange Board of India in 1993. It began operations in the wholesale debt market in 1993, followed by the cash-market segment in 1994.
Today, NSE provides market infrastructure across equity listings and trading, derivatives, currency products, debt-market activities, market data, corporate disclosures and other exchange-related services.
According to NSE (2026); as of March 31, 2026, its market share based on lots traded in cash market stood at 93%, ~100% in equity futures market and 73% in equity options (on premium value). The exchange served ~25.7 Cr registered investor accounts, ~13 Cr unique investors, and 2979 listed companies, mobilizing around ₹20.3 trillion in the financial year ending 2026. As of June 30, 2026, the exchange served over 261.36 million registered investor accounts, 129 million unique investors, 1,328 trading members, and 3,005 listed companies, with a total listed market capitalization of approximately ₹474.08 trillion.’
In simple terms, NSE does considerably more than display share prices. It connects investors, brokers, listed companies and other market participants while facilitating trading and related capital-market processes.

About NSE IPO
What does the NSE IPO mean for investors?
The NSE IPO is noteworthy because NSE itself operates core market infrastructure. From an investor’s point of view, however, the evaluation process should remain broadly similar to any other public offer. Understand the business, study its financial performance, examine the issue structure and shareholding pattern, review valuation, assess key risks and then determine whether the investment fits your objectives and risk profile.
NSE IPO Journey: From 2016 to 2026
The NSE IPO journey has been nearly a decade in the making. Unlike a typical company that moves from filing its draft prospectus to listing within a relatively short period, NSE’s proposed public listing faced a prolonged regulatory process.
The exchange first approached SEBI for approval on October 18, 2016, and filed its Draft Red Herring Prospectus (DRHP) in December 2016. However, the listing process did not proceed as originally planned because of regulatory concerns relating to the co-location matter, governance issues and NSE’s technology infrastructure.
NSE made several attempts to obtain regulatory clearance after its initial 2016 filing - in 2019, twice in 2020 and again in 2024. The outstanding matters included issues connected with the earlier co-location controversy as well as related regulatory and governance concerns. By 2025, NSE stated that it had responded to issues raised by SEBI and was awaiting the regulator's No Objection Certificate (NOC).
SEBI's NOC marked the key turning point
A major breakthrough came on January 30, 2026, when NSE formally disclosed that it had received SEBI's NOC for listing its shares on a recognized stock exchange.
Soon afterwards, NSE's governing board approved undertaking the IPO as an Offer for Sale (OFS) by existing shareholders. The board also reconstituted the IPO Committee responsible for facilitating and overseeing the listing process. It filed the DRHP again on June 17th,2026 post clearance.

Conclusion
The NSE IPO is attracting attention because the underlying business occupies an important position in India’s capital-market infrastructure. For investors, however, familiarity with NSE should not replace analysis of core financials and future growth prospects.
One possible growth driver is greater participation in capital markets. As participation expands, exchange infrastructure can potentially benefit from higher activity across listings, equities and other market products. NSE’s existing presence across several market segments gives it multiple areas through which such participation can flow.
Technology is another area to watch. NSE’s history has involved the progressive adoption of electronic and remote trading infrastructure, suggesting that technology capacity, reliability and the ability to adapt to changing market requirements remain strategically important.
These should be treated as growth drivers to monitor rather than forecasts. Actual growth can be affected by trading activity, competition, technology expenditure, regulation, market cycles and changes in investor behaviour.
